General Provisions
These General Terms and Conditions ("Terms") govern the rights and obligations between Magrano s.r.o., located at Ulica Jána Francisciho 27, Levoča 054 01, Slovakia, Company ID: 56 656 491, VAT ID: 2122380348, registered in the Business Register of the District Court in Košice, Section: Sro, Insert No. 60979/V, represented by David Forgáč (the "Provider"), and the Customer who is not a consumer (the "Customer" or "Business Client"), in connection with the use of the Magrano system (the "System") for intelligent product search on the Customer’s e-shop.

A Business Client is any individual or legal entity registered in the commercial register, holding a business license, or performing agricultural activities as defined by applicable laws. The Customer must provide their business name, company registration number, VAT number, billing address, phone number, and contact email when placing an order.
The Provider offers the Magrano System for use in the Customer’s business operations. These Terms form an integral part of the Service Agreement. In case of discrepancies, the provisions of the signed Service Agreement prevail. Unregulated legal relationships are subject to applicable business and copyright law.
Agreement Formation
The Agreement is formed when the Provider accepts the Customer’s order within 7 business days. Email communication is considered valid written communication. The Agreement is valid for 1 month. If the Customer does not notify the Provider of termination at least 15 days prior to expiry, the Agreement renews automatically for another month.
Provider's Rights and Obligations
The Provider grants the Customer a limited, non-transferable license for internal business use only. The System may be integrated via XML feed or API. The Provider will deliver a JavaScript snippet or API key for connection.

Fees and Billing
The Customer agrees to pay the fee as specified in the Agreement or the pricing table available at https://www.magrano.com/pricing/ The first 30 days are free of charge. After that, the appropriate package is determined based on actual usage. Invoices are due within 14 days of issuance. If paying for 12 months in advance, the Provider grants one month free. If usage exceeds the assigned package, the Provider will notify the Customer. The Customer has 7 days to decline the new terms.
Complaints and Claims
The Customer may file a claim for issues caused by the Provider. The Provider is not liable for outages due to force majeure. System functionality depends on a stable internet connection. Support is available 24/7 via david.forgac@magrano.com If the System is unavailable for more than 24 hours, the Customer may request a contractual penalty equal to the monthly package price.
Termination
The Customer may terminate the Agreement if the System is non-functional and the Provider does not resolve the issue within 10 days. The Provider may terminate the Agreement if the Customer fails to pay an invoice within 10 days after the due date. Either party may terminate the Agreement at any time without reason via email or post. Termination becomes effective the day after notice is received.
Data Protection
The Provider processes personal data in line with GDPR and applicable data protection laws. The Provider does not store end-user data and anonymizes all data.
Final Provisions
Communication is conducted via email or post. Emails are considered delivered upon sending. Unregulated matters are governed by business and copyright law.
